End User Licence Agreement

This End User Licence Agreement sets out the terms under which individuals and organisations may access and use licensed digital products, programmes, resources and associated content provided by The Resilient People Ltd.

This End User Licence Agreement (the “Agreement”) is entered into between:

The Resilient People Ltd
Fox Corner, Chester Road
Hartford, Cheshire CW8 1LL
United Kingdom

Licensee:
The individual, business, school, nursery, organisation or other entity purchasing, accessing or using the licensed Product.

The Licensor and Licensee are collectively referred to as the “Parties” and individually as a “Party”.

The Resilient People Ltd owns certain digital products, programmes, resources, training materials and associated content (collectively referred to in this Agreement as the “Product”).

By purchasing, accessing, downloading or using the Product, the Licensee agrees to be bound by the terms of this Agreement.

1. Grant of Licence

The Licensor grants the Licensee a limited, non-exclusive, non-transferable and revocable licence to access and use the Product solely for the purposes permitted under this Agreement.

  • The licence applies only to the individual, business or organisation that purchased or was expressly granted access to the Product.
  • The licence is limited to the number of authorised users, staff members, locations or instances agreed at the point of purchase or separately in writing.
  • No ownership rights in the Product are transferred to the Licensee.

2. Permitted Use

The Licensee may use the Product for their own personal, professional or internal organisational purposes, including use within an authorised nursery, school, educational setting, business or organisation where applicable.

Unless expressly authorised in writing by the Licensor, the Licensee may not:

  • Sell, resell or commercially distribute the Product.
  • Sublicense, lease, lend or transfer access to another person or organisation.
  • Copy or reproduce the Product except where reasonably necessary for its expressly authorised use.
  • Modify, adapt, translate or create derivative works based upon the Product.
  • Reverse engineer, decompile or otherwise attempt to extract or recreate the Product or its underlying components.
  • Upload the Product to shared drives, websites, learning platforms or other systems where unauthorised users may access it.

3. Intellectual Property Rights

All rights, title and interest in the Product remain the property of The Resilient People Ltd or its applicable licensors.

This includes, where applicable, all:

  • Written content and programme materials.
  • Workbooks, worksheets and downloadable resources.
  • Videos, audio and digital learning materials.
  • Graphics, illustrations and visual resources.
  • Training frameworks, activities and programme structures.
  • Brand names, trademarks, logos and other proprietary materials.

The Licensee must not remove, obscure or alter any copyright notice, trademark, branding or other proprietary marking contained within the Product.

4. Restrictions

The Licensee agrees not to use the Product:

  • For any unlawful, unauthorised or fraudulent purpose.
  • In a way that infringes the intellectual property or other rights of the Licensor or any third party.
  • Outside the scope of the licence purchased or granted.
  • To create or develop a competing product, programme, course, training resource or service based substantially upon the Product.
  • In a way that allows unauthorised third parties to access, copy or distribute the Product.

5. Sharing & Third-Party Access

Access to the Product is limited to authorised users covered by the applicable licence.

The Licensee must not disclose, transfer, share login credentials or otherwise provide access to the Product to any third party unless expressly permitted by the Licensor in writing.

Where a licence has been purchased for a school, nursery, company or other organisation, access must remain within the agreed number of authorised users, staff members or locations.

6. Ownership of Individual Components

Each individual component forming part of the Product remains the intellectual property of the Licensor.

Individual worksheets, exercises, videos, graphics, frameworks, activities or other components may not be extracted and used independently, republished, incorporated into another programme or distributed outside the scope of this Agreement without prior written permission.

7. Digital Access & Security

Where access to the Product is provided through an online account, learning platform or digital service, the Licensee is responsible for maintaining the confidentiality and security of their login details.

  • Login credentials must not be shared with unauthorised users.
  • The Licensee should notify us if they believe their account or licensed materials have been accessed without permission.
  • We reserve the right to suspend access where unauthorised sharing or misuse is reasonably suspected.

8. Termination

Either Party may terminate this Agreement where the other Party commits a material breach of its terms and, where the breach is capable of remedy, fails to remedy that breach following reasonable written notice.

The Licensor may suspend or terminate access immediately where there is serious misuse, unauthorised distribution or infringement of intellectual property rights.

Upon termination of the licence, the Licensee must:

  • Immediately cease using the Product.
  • Cease accessing any associated digital platforms where access was provided under the licence.
  • Delete or destroy copies of licensed materials in their possession or control where requested.

Any provisions relating to intellectual property, confidentiality, restrictions and liability which by their nature should continue after termination shall remain in effect.

9. Disclaimer

The Product is intended to provide educational, wellbeing, resilience, training or professional development resources, as applicable to the particular Product purchased.

Unless expressly stated otherwise, use of the Product does not create a therapeutic, medical, psychiatric or legal relationship between the Licensor and an individual using the materials.

The Licensee remains responsible for determining whether the Product is appropriate for its intended setting, users and circumstances.

10. Limitation of Liability

To the fullest extent permitted by law, The Resilient People Ltd shall not be liable for any indirect, incidental, special or consequential loss arising from or connected with the use or inability to use the Product.

Nothing in this Agreement excludes or limits liability where it would be unlawful to do so.

11. Privacy & Data Protection

Where use of the Product involves the collection or processing of personal information, this will be handled in accordance with our Privacy Policy and GDPR Statement .

12. Changes to This Agreement

We may update this Agreement periodically to reflect changes to our Products, services, technology or legal requirements.

The latest version will be published on our website together with the date on which it was last revised.

13. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

Any dispute arising out of or in connection with this Agreement shall be subject to the jurisdiction of the courts of England and Wales.

14. Entire Agreement

This Agreement constitutes the entire understanding between the Parties in relation to the licensing and permitted use of the Product and supersedes any previous discussions, representations or agreements relating to the same subject matter, unless otherwise agreed in writing.

15. Acceptance of This Agreement

By ticking the relevant acceptance box during checkout, completing a purchase, accessing the Product or otherwise indicating acceptance, the Licensee confirms that they have read, understood and agreed to this End User Licence Agreement together with our Terms of Service and Privacy Policy .
